Key terms used throughout these Terms carry the following meanings:
Eligibility Requirements
2.1 - Age Requirement
You must be at least 18 years old (or older if your jurisdiction requires it) at the time of entry. Participants are solely responsible for verifying their own compliance.
2.3 / 2.5 - Legal Compliance
Participation is void where prohibited by law. You are responsible for confirming that your entry complies with all local, state, and federal rules in your area.
2.4 - Geographic Restrictions
The sweepstakes is open to US residents except those in: California, Connecticut, Delaware, Florida, Idaho, Illinois, Indiana, Iowa, Louisiana, Maine, Maryland, Michigan, Montana, Nevada, New Jersey, New York, Oklahoma, Tennessee, and Washington. Entries from excluded states will be voided.
2.6 / 2.7 - Legal Capacity
By entering, you confirm you have the full legal capacity to form a binding contract and are not under any legal disability or impairment that would prevent you from doing so.
2.8 - Employee Exclusions
WiseSpin employees, officers, directors, affiliated agency staff, their immediate family members (spouse, parents, children, siblings), and anyone sharing their household for 3+ consecutive months per calendar year are not eligible to participate or win.
Rules
Game-Specific Rules
Every game on the platform has its own rules accessible from within the game. You are required to read and understand them before playing - not doing so does not exempt you from following them. Using bots, scripts, multiple accounts, or any manipulation technique is strictly forbidden and may result in disqualification, suspension, or permanent termination.
International Transaction Fees
Any costs arising from currency conversion, exchange rate shifts, or international payment processing are your sole responsibility. WiseSpin does not compensate for these costs. All financial transactions are final and non-refundable - verify any fees with your payment provider before proceeding.
Limited Revocable License
Virtual Coins License
WiseSpin grants you access to virtual tokens ("Virtual Coins" and "Sweep Coins") to participate in sweepstakes games. These tokens are non-transferable and purely recreational - they do not represent real money or guarantee any monetary prizes.
License Grant
You receive a limited, personal, non-exclusive, non-transferable, revocable license to access the platform for private recreational use only. This does not give you ownership of any Virtual Coins or platform assets. The license may be terminated immediately if you breach these Terms.
Transfer Restrictions
Selling, renting, gifting, or transferring Virtual Coins or your account to any other person is strictly prohibited. Violations may result in immediate account closure, lifetime ban, and potential legal proceedings.
No Purchase Required
You can participate without spending money - free coins are available through promotions and mail-in options. Optional coin purchases are a convenience only; they are final, non-refundable, and carry no cash value. If your account is closed or the platform shuts down, all Virtual Coins are forfeited with no refund obligation.
User Account
5.1 - Registration
A registered account is required to participate. By signing up you confirm you meet all eligibility requirements.
5.2 - Accurate Information
All registration details must be truthful and current - including your legal name, email, and mailing address. Update your account promptly if anything changes.
5.3 - One Account Only
Each person may hold exactly one account. Duplicate registrations (regardless of the email or IP used) are prohibited and may lead to termination.
5.4 - Account Security
You are responsible for keeping your login credentials confidential. Contact WiseSpin immediately if you suspect unauthorized access.
5.5 - Personal Use Only
Your account is for your private, non-commercial use. You are liable for all activity that occurs under it.
5.7 - Additional Verification
WiseSpin may request identity documents at any time. Failure to comply may lead to account suspension or termination.
5.11 - Consequences of Termination
- All Virtual Coins immediately forfeited
- Pending redemption requests cancelled
- Permanent ban from the platform
- Possible referral to regulatory authorities or law enforcement
- Liability for costs and damages incurred by WiseSpin
Restrictions on Use of Services
The platform is licensed to you, not sold. All intellectual property rights remain with WiseSpin and its licensors. By using the service you agree not to:
Limitation of Liability & Indemnification
Risk & Liability Limits
By participating, you accept all associated risks. The Released Parties are not liable for any direct, indirect, incidental, consequential, or punitive damages - including lost profits, data loss, or missed opportunities - arising from your use of the platform, regardless of cause. This applies even if WiseSpin was aware of the potential for such damages.
Your Indemnification Obligation
You agree to defend and hold harmless the Released Parties from any claims, costs, or damages (including legal fees) arising from your participation, any breach of these Terms, or any misconduct on your part.
Time Limit on Claims
Any dispute must be initiated within one (1) year of the event giving rise to the claim. Claims filed after this period are permanently barred.
Damage Cap
Where direct damages are recoverable, your sole remedy is capped at the total winnings you received from WiseSpin in the 12 months prior to your claim.
Purchases
8.1 / 8.2 - Payment Verification
The payment method you use must be legally owned by you and registered in your name. WiseSpin may request documentation to verify ownership and can decline any payment method at its discretion.
8.5 - All Sales Final
Purchases are non-refundable, non-transferable, and Virtual Coins cannot be converted to real currency. Billing disputes must be raised within 30 days of the transaction or your right to challenge the charge is waived.
8.12 - Redemption Requirement
All Sweep Coins - however acquired - must be used to play in a sweepstakes at least once before they become eligible for prize redemption. WiseSpin may require multiple plays at its discretion.
8.13 - 60-Day Validity Period
Unused Sweep Coins expire 60 calendar days after the last time new Sweep Coins were added to your account. Playing games does not extend this window - only adding new Sweep Coins resets the timer.
8.11 - Chargeback Consequences
If any payment linked to your account is reversed or disputed, your account may be suspended immediately. The disputed amount becomes an outstanding debt you must repay via an alternative method. Any coin balance, winnings, or pending redemptions become void during suspension.
Licensing & Protection of Funds
9.1 - Operational Structure
The WiseSpin platform is owned and operated by Avento360 LLC. All payment processing is handled exclusively by Viralflux Labs Limited (a wholly owned subsidiary acting as Merchant of Record). Viralflux has no role in sweepstakes operations, account decisions, or prize determinations - those are managed entirely by Avento360 LLC.
Anti-Money Laundering Compliance
AML Program
WiseSpin maintains a BSA-compliant program covering customer identification, transaction monitoring, and suspicious activity reporting. Enhanced due diligence may be applied based on transaction patterns or risk indicators.
Your Cooperation
Using our services means you consent to full participation in compliance checks. We may request identity documents at any time. Suspicious transactions will be reported to FinCEN and other authorities as required by law. Refusal to cooperate may result in account termination.
Transaction Monitoring
You consent to automated and manual monitoring of all account activity. This may result in transaction delays, temporary restrictions, or regulatory reporting where required.
Platform Disruptions, Modifications & Warranty Disclaimer
11.1 - "As Is" Service
The platform is provided as-is, with no guarantees of uninterrupted, error-free, or secure operation. All implied warranties are disclaimed to the fullest extent permitted by law.
11.2 - No Liability for Disruptions
We are not responsible for losses caused by downtime, maintenance, bugs, or unauthorized tool usage. Using unofficial third-party tools to interact with the platform is prohibited and done entirely at your own risk.
11.3 - System Errors
If a technical error affects game results, we may void affected entries, adjust account balances, or reverse erroneous payouts. We'll notify you of significant corrections where feasible.
11.4 / 11.5 - Modifications & Shutdowns
WiseSpin may alter, suspend, or remove any feature of the platform at any time without prior notice. Scheduled maintenance and emergency shutdowns may occur - we are not liable for resulting disruptions.
Promotions
Special Promotion Terms
Individual promotions carry their own conditions. Any sweep coins or credits issued through them must be used in accordance with those stated rules. Where promotion-specific rules are silent, the general terms of this agreement apply. Refer to the Official Sweepstakes Rules for further detail.
Exclusive Offers
Personalised offers issued to individual users are non-transferable and cannot be shared with others. Unauthorized sharing may lead to disqualification and further account action. WiseSpin reserves the right to modify, suspend, or cancel any promotion at any time without notice.
Intellectual Property
Your License Scope
Using the platform gives you a limited, non-exclusive, non-transferable right to access and use the service as described - nothing more. No ownership or title transfers to you.
WiseSpin Ownership
All copyrights, trademarks, patents, trade secrets, and other intellectual property rights in the platform and its content belong exclusively to WiseSpin or its third-party licensors.
Publicity Consent
By accepting these Terms and participating in games or prize redemptions, you grant WiseSpin the right to publish limited information about your wins (e.g., "John S. won SC 20,000 playing [Game]") for promotional purposes. This may include your first name, last initial, username, state, game played, and win amount. WiseSpin will not use your full legal name, photograph, or likeness for advertising without obtaining any legally required additional consent.
User Generated Content
Any content you submit through the platform must comply with all applicable laws and these Terms. You are solely responsible for what you post.
14.4 - License Grant to WiseSpin
By contributing content, you grant WiseSpin an irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and create derivative works from your content in any medium - without additional consent or compensation.
14.7 - Prohibited Content
- Racist, hateful, or inciting material
- Harassment or bullying
- Sexually explicit content
- Terrorism or illegal activity promotion
- Abusive or defamatory statements
- Unauthorized commercial content
- Promotion of competing services
Dispute Resolution & Arbitration Agreement
Mandatory Arbitration
Any dispute relating to these Terms, your account, the sweepstakes, or our services must be resolved through individual binding arbitration - regardless of the legal theory. Exceptions: either party may bring small claims (under $10,000) in small claims court, or seek injunctive relief for IP infringement.
Class Action Waiver
You and WiseSpin both waive the right to a jury trial, class actions, collective proceedings, and consolidation of claims with other parties. All arbitration proceeds on a strictly individual basis.
Informal Resolution First
Before filing for arbitration, you must send a written description of your dispute to support@wisespin.com. Both parties will attempt to resolve it in good faith within 30 days. If unresolved, arbitration may then be initiated.
Arbitration Procedures
- Administrator: JAMS under its Consumer Arbitration Rules
- Format: Virtual/remote where possible; Delaware if in-person required
- Fees: WiseSpin covers arbitration fees beyond standard court filing costs
- Award: Written decision with findings of fact and legal conclusions
30-Day Opt-Out (New Users Only)
New users may opt out of this arbitration agreement by mailing a written notice - including your name, email, and a clear opt-out statement - to: Avento360 LLC, Harvard Business Services, 16192 Coastal Hwy, Lewes, DE 19958, USA. The letter must be postmarked within 30 days of account creation.
Governing Law
These Terms are governed by Delaware state law. If arbitration is deemed inapplicable to a particular claim, that matter falls under the exclusive jurisdiction of Delaware courts.
Complaints & Customer Support
Required Information
When contacting support, include your full legal name, account username, and a detailed description of the issue - including relevant dates, times, and any transaction or reference IDs. Complete information speeds up resolution.
Response Timeline
We aim to acknowledge your complaint within 7 business days and provide a full response within 7 more business days. Complex cases involving third-party verification or policy investigations may take longer - we'll keep you updated throughout.
Escalation
If you're unsatisfied with the initial response, you may request escalation to a supervisor or an internal review board. The board may audit game logs, financial records, and account history before issuing a final determination.
General Provisions
17.1 - Entire Agreement
These Terms, together with the Sweepstakes Rules and Privacy Policy, form the complete agreement between you and WiseSpin. They replace all prior communications. Sweepstakes-specific matters are governed by the Official Rules; platform and account matters are governed by these Terms.
17.2 - Force Majeure
WiseSpin is not liable for failures caused by circumstances beyond its reasonable control - including natural disasters, government actions, war, utility outages, or other events that make performance commercially impracticable.
17.3 - Severability
If any provision of these Terms is found invalid or unenforceable, it will be severed and the remainder will continue in full force.
17.4 - No Waiver
WiseSpin not enforcing a provision immediately does not waive its right to enforce it later. Any formal waiver must be in writing and signed by an authorized representative.
17.5 - Assignment
You may not transfer your rights or obligations under these Terms without written consent from WiseSpin. WiseSpin may assign its rights at any time without prior notice.
17.7 - Survival
Provisions relating to intellectual property, liability limitations, indemnification, and dispute resolution survive account termination and remain in effect indefinitely.
